1.1 The “Buyer” is defined as the person or organization who purchases or agrees to purchase Goods from the Supplier.
1.2 The “Consumer” is defined by section 12 of the Unfair Contract Terms Act 1977.
1.3 The “Consumer Buyer” is defined as a Buyer who is also a Consumer
1.4 A “Contract” is defined as the contract between the Supplier and the Buyer detailing the sale or purchase of Goods.
1.5 “Goods” are items that the Buyer purchases or agrees to purchase from the Supplier.
1.6 “Made to Order Goods” are items that are custom made for the Buyer, i.e. have been modified or altered by the Supplier to match the specifications of the Buyer. This includes alteration to the materials used in the construction of the Goods.
1.7 The “Supplier” is COMPANYNAME.
1.8 This document is defined as the “Terms and Conditions,” though other terms may be agreed upon in writing between the Buyer and the Supplier.
2.1 All sales of Goods by the Supplier are covered under these Terms and Conditions, and supersede any other verbal or written agreement from the Buyer.
2.2 By accepting delivery of Goods, the Buyer accepts these Terms and Conditions.
2.3 Additional conditions may be established between the Supplier and the Buyer via email, and are included in these Terms and Conditions.
2.4 Any additions or adjustments to these Terms and Conditions must be agreed upon in writing from the Supplier.
2.5 The Supplier reserves the right to edit or adjust these Terms and Conditions at their own discretion, but these changes will not affect the existing Terms and Conditions (including those accepted by the Buyer at time of purchase).
3.1 All orders are subject to acceptance by the Supplier. The Supplier retains the right to accept or decline any order for any reason.
3.2 If the Supplier is unable to supply the Goods, the Buyer has the option to wait until the Goods become available or receive a full refund within 14 days.
4.1 The price of the Goods, as displayed on the website, includes VAT and delivery charges.
4.2 Payment must be made in full by credit/debit payment or bank transfer before the order can be processed.
4.3 After the Supplier receives payment, the Supplier will email an order confirmation to the Buyer along with any additional terms and cancellation rights.
4.4 The Supplier may adjust the advertised price at any time to account for an increase in our supplier’s or manufacturer’s pricing, new taxes or duties, clerical errors, or other reasons. If the Supplier adjusts the price, the Buyer has the right to cancel the order before shipping.
4.5 If a product is listed at an incorrect price due to clerical error, the Supplier may refuse any order submitted at the incorrect price. For fully processed payments, the Buyer will be issued a full refund.
4.6 For all orders, payment is due at the time the order is placed.
4.7 All transactions are processed in EUR, including discounts and refunds. Exchange rates may vary.
4.8 Gift cards and vouchers are valid for a maximum of one year.
5.1 The Supplier may remove or change any Goods from the online catalog without any liability..
5.2 The Supplier has the right to refuse any order for any reason without liability..
5.3 Prices are not guaranteed, and they may be updated at any time. In the instance that a price is not correct at the time an order is placed, see clause 4.5..
5.4 If a payment does not clear or has not been made in a timely manner, the Supplier has the right to cease or suspend the delivery of Goods until the Buyer has paid in full.
6.1 All risk of the Goods passes to the Buyer at the time of delivery. The Buyer is also responsible for additional costs connected with the delivery of the Goods, including transit, import duties, local taxes, and delivery insurance. In the instance that the Buyer uses a third party delivery service, their contract will be directly with the third party carrier. This contract is at the Buyer’s own risk.
6.2 In the instance that the Supplier cannot adhere to agreed upon dates for delivery, the Supplier will notify the Buyer and arrange an alternative date. The Supplier is not liable for any losses, costs, or damages incurred by the Buyer as a result of a delay in delivery or collection dates.
6.3 The Goods will only be transferred to the Buyer after they have been paid for in full.
6.4 The Buyer bears the responsibility of examining the packaging and Goods upon delivery to ensure that no damage has been done to the Goods. If damage or defect is found, the Buyer must contact the Supplier on the day it receives the delivery. If the Buyer signs for the package, they must sign and write “Collected Damaged.”
6.5 The Supplier is not responsible for any damage resulting from the Buyer removing the Goods from the packaging, such as the use of a knife resulting in torn fabric.
Damaged or Defective Goods
7.1 The Buyer must notify the Supplier of damage or defect within seven days of collection by the buyer. After this seven day period, the Buyer has legally accepted the Goods.
7.2 If the Goods were damaged or defective while in the possession of the Supplier, the Buyer must retain the original packaging and contact the Supplier. The Supplier may agree to replace the Goods, in which case the damaged or defective goods will be collected from the Buyer. The Supplier will examine the goods and determine whether the damage is a fault of the Buyer or the Supplier. If the damage is a fault of the Buyer, the Goods will be returned to the Buyer within 14 days. Delivery charges may apply. If the damage is a fault of the Supplier, the Goods may be replaced or refunded. Refunds will be paid within 14 days of the inspection.
7.3 If the Goods are damaged by the Buyer, the Buyer is liable for repairing or replacing the Goods.
Cancellations and Returns
8.1 These are additional rights that may apply to Consumer Buyers
8.2 Consumers may cancel the order for Goods within seven working days following the day after the collection or delivery of the Goods. A full refund will be issued if the Goods are returned within this time period, except for any costs associated with returns.
8.3 The Goods must be returned within 14 days. The Buyer is responsible for the expense of returning the Goods, and must take care of the Goods until they are returned. They must be returned in their original packaging with adequate shipping insurance. Business customers are limited to returns on orders up to 10,000.
8.4 Goods must be returned in original condition. The Supplier will inspect the items to verify their condition within 30 days of their return.
8.5 Returns will be issued using the same payment method under which the Goods were originally purchases. Refunds will be paid within 14 days of the Supplier’s inspection.
8.6 If the Goods are returned in damaged condition as a fault of the Buyer or not returned in their original packaging, the Supplier shall deduct costs of repair or replacement of the Goods or their packaging from the Buyer’s refund. This amount may be up to 30% of the original purchase price.
Supplier’s Satisfaction Guarantee
9.1 The Supplier offers a 30-day satisfaction guarantee for all Goods. Starting on the date of delivery, the Buyer can return unsatisfactory products within 30 days for any reason for a full refund. The Buyer must contact and notify the Supplier of the return within these 30 days.
9.2 Once the Supplier has been notified of the return, the Buyer has seven days to return the items. The Buyer is liable for all expenses associated with the return of the items.
9.3 Goods must be returned in their original packaging, and must be in their original condition. The Buyer must purchase shipping insurance for the return.
9.4 Goods must be returned in original condition. The Supplier will inspect the items to verify their condition within 30 days of their return.
9.5 Returns will be issued using the same payment method under which the Goods were originally purchases. Refunds will be paid within 14 days of the Supplier’s inspection. The cost of delivery is non-refundable.
9.6 If the Goods are not returned in their original condition, the Supplier may choose not to accept the return. In this case, the Buyer must make arrangements for collection of the Goods within 28 days of the inspection.
9.7 If the Goods are not collected by the Buyer within 100 days, the Supplier bears no responsibility to return the Goods to the Buyer.
9.8 Promotions or other discounts may be deducted from the refund amount, including items purchased in a 2 for 1 promotion.
Fault Goods Guarantee
10.1 The Supplier offers a five year manufacturer’s guarantee, which states that the materials and craftsmanship will be free of defect for five years from the delivery date. This does not cover normal wear and tear.
10.2 If the defect is caused by abnormal use or extreme conditions, failure to follow provided instructions, misuse, alteration, repair, intentional damage, negligence, and other damage, the Goods are not covered under the manufacturer’s guarantee.
10.3 In the instance of defective Goods, the Buyer must contact the Supplier within seven days of discover and arrange for the return of the Goods.
10.4 The Goods must be returned within seven days of the notification. The Buyer is responsible for all costs associated with the return.
10.5 The Goods should be returned in their original packaging with shipping insurance.
10.6 The Supplier will inspect the items to verify their condition within 30 days of their return.
10.7 Once the Supplier verifies a manufacturer’s defect, the Supplier will refund or replace the items. Refunds will be paid within 30 days of the inspection using the same payment method used during the original purchase. The Buyer will also be refunded the cost of delivery.
10.8 If the Supplier does not accept that the items have a manufacturer’s default, the Buyer must collect the Goods within 28 days of the inspection.
10.9 If the Goods are not collected by the Buyer within 100 days, the Supplier bears no responsibility to return the Goods to the Buyer.
Responsibility and Use of Goods
11.1 The Buyer agrees that Goods will only be used for the purposes that they are intended to be used for and in accordance with the manufacturer’s instructions.
11.2 The Buyer agrees they will not misuse any Goods and will abide by any laws applicable to any Goods.
11.3 The Buyer bears the responsibility of ensuring that the Goods are appropriate for the Buyer’s intended use.
11.4 The Buyer acknowledges that the effectiveness and quality of the Goods depends on correct use and following of the manufacturer’s instructions.
11.5 The Supplier has no liability in any losses or expenses that result from incorrect use of Goods.
11.6 The Buyer is responsible for taking accurate measurements and giving accurate specifications to the Supplier. Any error on the part of the Buyer is not a responsibility of the Supplier, and the Supplier is not liable for expenses or losses that may result from the Buyer’s error.
Limitation of Liability
12.1 These Terms and Conditions do not limit the liability of the Supplier for death or personal injury that results from the Supplier’s or its employee’s negligence.
12.2 The Supplier is not liable for any indirect or incidental loss or damage.
12.3 The Supplier is not liable to the Buyer for failure to deliver Goods by the prearranged date.
12.4 Should the Supplier breach these Terms and Conditions, the Buyer’s remedies shall not exceed the price of the Goods.
No waiver shall impede the Supplier from enforcing these rights in the future.
The Supplier is not liable for failure to fulfill any of its obligations as a result of circumstances outside of its control, including but not limited to accidents, war, fire, strikes, lock outs, failure of any communications, failure of factory machinery, or shortage of raw materials. In these instances, the Supplier shall be granted an extension on fulfilling its obligations.
Invalidity and Severance
Each clause of these Terms and Conditions may be considered independent of the others. If any clause is unenforceable, it is determined to be separate and will not affect the validity of other Terms and Conditions.
Governing Law and Jurisdiction
These Terms and Conditions shall be interpreted and enforced in accordance with English Law, and are subject to the exclusive jurisdiction of the English Courts.
